Jonathan B. Mirsky
Jonathan Mirsky represents clients in mergers and acquisitions and prepares and negotiates complex agreements in the telecommunications and media industries.
Mergers and Acquisitions. Mr. Mirsky structures and negotiates private equity and private company strategic mergers and acquisitions as well as other business combinations. Mr. Mirsky regularly advises clients on mergers and acquisitions of companies engaged in digital media, marketing, and public relations. Mr. Mirsky also represents clients in business combinations in the telecommunications and media industries.
Communications Agreements. Mr. Mirsky prepares and negotiates complex commercial agreements specific to the telecommunications and media industries. As part of his practice, he structures novel telecommunications network deployment contractual arrangements and advises on related legal and regulatory issues, including public-private partnerships, joint ventures, and innovative approaches to accessing public rights-of-way. Mr. Mirsky also prepares and negotiates agreements for subsea cable and terrestrial IRUs, wireless resale and MVNOs, utility pole attachments, spectrum leases, cable landing stations, tower leases, transponder purchases, and intercarrier arrangements and transactions.
In advising clients on communications agreements, Mr. Mirsky draws upon his past experience representing wireless and wireline service providers, satellite operators, broadcasters, and equipment manufacturers in rulemaking, complaint, licensing, and other proceedings before the Federal Communications Commission. By combining his telecommunications regulatory background with his transactional experience, Mr. Mirsky is able to provide clients with the skills and experience necessary to complete complex commercial transactions in the communications industry.
Mr. Mirsky received his law degree from Yale Law School and clerked for Judge Ralph K. Winter on the U.S. Court of Appeals for the Second Circuit. Mr. Mirsky graduated summa cum laude from Union College and completed the General Course at the London School of Economics. Mr. Mirsky serves as the leader of the firm’s Corporate and Commercial Transactions practice and as the chair of the firm’s Hiring Committee.
