Jonathan B. Mirsky
Jonathan Mirsky is a partner with Harris, Wiltshire & Grannis and heads its Corporate and Commercial Transactions practice. Mr. Mirsky specializes in preparing and negotiating contracts in the telecommunications and media industries, advising on private company mergers and acquisitions, and advising on communications regulation and licensing in connection with structuring corporate transactions.
Communications Agreements. Mr. Mirsky has extensive experience preparing and negotiating agreements specific to the telecommunications and media industries. As part of his practice, he structures complex telecommunications network deployment contractual arrangements and advises on related legal and regulatory issues. Mr. Mirsky has prepared and negotiated agreements for subsea cable and terrestrial IRUs, wireless resale/MVNOs, utility pole attachments, cable landing stations, spectrum leases, satellite transponder purchases, LMAs, video relay service licenses, and other wireline intercarrier and carrier-customer arrangements.
In advising clients on communications agreements, Mr. Mirsky draws upon his past experience representing mobile and fixed terrestrial wireless, wireline, satellite, broadcasting, and equipment manufacturing businesses in rulemaking, complaint, licensing, and other proceedings before the Federal Communications Commission. He also draws upon his significant experience drafting commercial contracts and intellectual property licensing agreements. By combining his transactional and telecommunications regulatory backgrounds, Mr. Mirsky is able to provide clients with the skills and experience necessary to complete complex commercial transactions in the communications industry.
Mergers and Acquisitions. Mr. Mirsky structures and negotiates private company mergers and acquisitions and other business combinations in the cable and satellite programming, television and radio, information technology, and public relations and advertising industries.
Communications Regulation and Licensing. Mr. Mirsky’s communications regulatory practice emphasizes counseling clients on FCC and state public service commission matters in connection with structuring corporate transactions, including mergers, acquisitions, and financings. He advises clients on the FCC’s rules addressing transfers of control, foreign ownership, media ownership attribution, auction designated entities, and investor protection. He has experience addressing FCC and PSC issues arising from bankruptcy and corporate restructuring. As part of his communications regulation and licensing practice, Mr. Mirsky provides FCC advice to lenders in the telecommunications and media industries, including preparing and negotiating FCC-related provisions of loan documentation.
Mr. Mirsky received his law degree from Yale Law School and clerked for Judge Ralph K. Winter on the U.S. Court of Appeals for the Second Circuit. Mr. Mirsky graduated summa cum laude from Union College and completed the General Course at the London School of Economics. He is a member of the bars of the District of Columbia, Maryland, and New York. Mr. Mirsky serves as the chair of the firm’s Hiring Committee.
